ReliqAI Canada Inc.
PURPOSE
The purpose of this Agreement is to establish the relationship under which ReliqAI Canada provides strategic leadership, management, business development, systems engineering, technical consulting, and related services to ReliqAI USA.
The parties acknowledge that ReliqAI Canada possesses significant knowledge, intellectual property, industry relationships, systems engineering expertise, and business development capabilities that are important to the successful execution and growth of ReliqAI USA.
APPOINTMENT
ReliqAI USA appoints ReliqAI Canada as its preferred provider of strategic leadership, management services, business development services, systems engineering services, technical consulting services, and related support services.
SERVICES
Services may include:

Strategic leadership.
-
Program leadership.
-
Business development.
-
Customer engagement.
-
Partner engagement.
-
Proposal development.
-
Systems engineering.
-
Technical consulting.
-
Program management.
-
Technology strategy.
-
In-Orbit Refueling initiative support.
-
Industry outreach.
-
Recruiting support.
-
Growth planning.
Such services may be delivered by Sanjay Chadha and/or other personnel designated by ReliqAI Canada.
SPACEWERX PHASE I
The parties acknowledge that ReliqAI Canada and Sanjay Chadha are expected to play a primary leadership role in execution of SpaceWERX Phase I.
ReliqAI USA shall utilize ReliqAI Canada as its primary strategic and technical services provider during SpaceWERX Phase I, subject to customer requirements, regulatory requirements, and applicable law.
SPACEWERX PHASE II
The parties acknowledge that ReliqAI Canada and Sanjay Chadha are expected to continue providing strategic leadership, business development, systems engineering, and technical consulting services during SpaceWERX Phase II.
ReliqAI USA shall continue to utilize ReliqAI Canada as a primary strategic services provider during SpaceWERX Phase II, subject to customer requirements, regulatory requirements, and applicable law.
GROWTH BEYOND SPACEWERX
Following SpaceWERX Phase I and Phase II, ReliqAI USA intends to continue utilizing ReliqAI Canada for strategic leadership, business development, technical consulting, systems engineering, and related services where beneficial to company growth and customer success.
COMPENSATION
ReliqAI Canada shall be compensated for services provided under this Agreement.
Compensation may include:

Monthly retainers.

Hourly rates.
-
Fixed-price project fees.
-
Milestone payments.
-
Business development fees.
-
Program leadership fees.
-
Expense reimbursement.
Specific compensation arrangements may be defined through Statements of Work, Work Orders, or other supplemental agreements.
TERM
This Agreement shall remain in effect unless terminated by mutual written agreement of the parties.
Termination shall not affect payment obligations, intellectual property rights, ownership interests, or rights accrued prior to termination.
STRATEGIC RELATIONSHIP
The parties acknowledge that this Agreement represents a foundational element of the relationship between ReliqAI USA and ReliqAI Canada and reflects the intention of the parties to work collaboratively in pursuit of long-term growth opportunities.
